SEASONS PLUS

AFFILIATE PROGRAM AGREEMENT

This Affiliate Program Agreement (“Agreement”) is entered into between Seasons Plus (“the Company”, “we”, “our”, “us”) and the Affiliate (“you”, “your”).

By applying for or participating in the Seasons Plus Affiliate Program, you agree to be legally bound by the terms and conditions set out below.

1. PROGRAM OVERVIEW

Seasons Plus offers an Affiliate Program to influencers, content creators, entrepreneurs, and marketers who wish to promote Seasons Plus products in exchange for commission-based earnings.

This opportunity is open to everyone. However, Seasons Plus reserves the right, at its sole discretion, to approve or reject any affiliate application without obligation to provide reasons.

Participation in the program begins only once written approval has been granted by Seasons Plus.

2. COMMISSION STRUCTURE

Affiliates will receive:

20% commission on the total sale amount of every successful sale generated through their unique affiliate link or code.

• Commission is calculated on the actual sale amount received by Seasons Plus, excluding:

  • Shipping fees

  • Taxes

  • Refunds

  • Chargebacks

  • Fraudulent transactions

Commission applies only to completed, verified, and non-refunded sales.

3. PAYMENT TERMS

• All commission payments are processed on the last day of each calendar month.

• Only commissions from successful, fully paid, and non-disputed transactions will be paid.

• If the last day falls on a weekend or public holiday, payment may be processed on the next business day.

• Affiliates are responsible for providing correct payment details.

• Seasons Plus is not responsible for delays caused by incorrect banking information.

4. AFFILIATE RESPONSIBILITIES

Affiliates agree to:

• Promote Seasons Plus products ethically and honestly.

• Provide accurate representations of products.

• Avoid misleading, false, or exaggerated claims.

• Comply with all applicable advertising, marketing, and consumer protection laws.

• Clearly disclose affiliate relationships where required by law.

Affiliates may not:

• Engage in spam marketing.

• Use unauthorized paid ads bidding on Seasons Plus brand terms.

• Misrepresent themselves as the official brand.

• Use copyrighted materials without permission.

• Create fake orders to generate commission.

5. BRAND PROTECTION & CONDUCT

To protect the integrity and reputation of Seasons Plus:

• Affiliates shall not make defamatory, false, misleading, or damaging statements about Seasons Plus, its owners, products, staff, or customers.

• Affiliates shall not post, publish, or distribute negative, harmful, or reputation-damaging content about the brand, whether publicly or privately, including on social media platforms.

• Any disputes must be addressed directly with Seasons Plus management and not publicly broadcast.

Violation of this clause may result in:

• Immediate termination of affiliate status.

• Forfeiture of unpaid commissions.

• Legal action where applicable.

6. INTELLECTUAL PROPERTY

All trademarks, logos, product images, brand materials, and content remain the sole property of Seasons Plus.

Affiliates are granted limited, non-exclusive, revocable permission to use approved marketing materials solely for the purpose of promoting Seasons Plus products.

7. TERMINATION

Seasons Plus reserves the right to:

• Suspend or terminate any affiliate at any time.

• Withhold unpaid commissions in cases of fraud, misconduct, policy violation, or reputational harm.

• Modify or discontinue the Affiliate Program at its discretion.

Affiliates may terminate participation at any time by written notice.

8. LIMITATION OF LIABILITY

Seasons Plus shall not be liable for:

• Indirect or consequential losses.

• Loss of income due to technical failures.

• Program interruptions or website downtime.

Participation is at the affiliate’s own risk.

9. AMENDMENTS

Seasons Plus reserves the right to amend this Agreement at any time. Updated terms will be published on the official website. Continued participation constitutes acceptance of the revised terms.

10. GOVERNING LAW

This Agreement shall be governed in accordance with the laws of the Republic of South Africa.

ACCEPTANCE

By applying for or participating in the Seasons Plus Affiliate Program, you confirm that:

• You have read and understood this Agreement.

• You agree to comply with all terms and conditions.

• You acknowledge that approval into the program is at the sole discretion of Seasons Plus.
